PostHaste Terms of Service

Effective date: October 22, 2026

These Terms of Service ("Terms") are an agreement between you and PostHaste Technologies, Inc., a Delaware corporation ("PostHaste," "we," "us," or "our"). They govern your use of the PostHaste website at posthaste.io, the PostHaste application, and related services (together, the "Service").

By creating an account, starting a trial, or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of a business, you confirm that you have authority to bind that business, and "you" means that business.

1. What PostHaste does

PostHaste helps small local businesses create social media content. After you sign up, PostHaste:

  • retrieves the content of the website you give us, and of any other web pages you ask us to use as sources, to build a brand profile for your business;
  • researches your local market using publicly available information (for example, weather, news headlines, public events, and civic information about your area) and web search performed through our AI provider;
  • drafts post ideas, captions, and images using third-party AI providers; and
  • (planned) publishes posts you approve to the social accounts you connect, such as Facebook Pages, Instagram, Threads, LinkedIn, and Google Business Profile, using those platforms' official APIs.

Some features described on our website are not yet available. See Section 14 (Pre-launch and beta features).

2. Eligibility and business use

The Service is for businesses, not for personal, family, or household use. To use it you must:

  • be at least 18 years old and able to form a binding contract;
  • use the Service for a business you own or are authorized to manage; and
  • not be barred from using the Service under U.S. law or the laws of your location.

The Service is not directed to children, and we do not knowingly allow anyone under 18 to create an account.

3. Your account

  • You must give us accurate information and keep it up to date.
  • You are responsible for keeping your login credentials secure and for everything that happens under your account, including activity by teammates you invite.
  • A plan or trial may limit the number of seats (people who can sign in to the account, plus teammates you have invited who have not yet joined). Seats are for people who work for or with the business on the account. You may not share one login among people, and you may not use one account to serve multiple unrelated businesses.
  • One business per account. Each business may use the free trial and any one-time bonus only once. We may identify a business by its name, website, and location to enforce this. If we decline to open an account for your business and you believe that is a mistake (for example, you are a franchise location or a new owner of an existing business), contact support@posthaste.io and we will review it.
  • The Service is offered to businesses in the United States. Prices are in U.S. dollars.
  • Tell us right away at support@posthaste.io if you believe your account has been compromised.

4. AI-generated content: you review before you publish

PostHaste uses artificial intelligence to draft text and images ("Outputs"). You understand and agree that:

  • Outputs can be wrong. AI can produce content that is inaccurate, out of date, incomplete, similar to content created for others, or not suitable for your business. Market research and local insights may also be incomplete or wrong.
  • Nothing publishes without your approval. Every post requires your explicit approval before it is scheduled or published. You are responsible for reviewing each Output before you approve it.
  • You are responsible for what you publish. Once you approve content, it is your content. You are responsible for making sure it is accurate, lawful, and appropriate, including any claims about prices, promotions, health, safety, legal, or financial matters, and any required disclosures (for example, for alcohol, contests, or endorsements).
  • Our safety filters are a help, not a guarantee. We apply content filters and your configured guardrails, but they may miss things.
  • Outputs may not be unique. Other customers may receive similar Outputs, and you may not be able to claim exclusive rights in them.
  • Quotes and reviews must be genuine. If you publish a customer quote or review in a post, you are responsible for making sure it is genuine, accurately reflects what the customer said, and is used with any permission the law requires.
  • You label AI content where required. Some platforms and laws require AI-generated or AI-altered images or text to be labeled. You are responsible for applying any label a platform or law requires to content you publish. Where a platform lets us apply an AI label automatically, we may do so, and you agree not to remove it.
  • Approved posts do not know what happens next. Approved posts publish on schedule even if circumstances change after you approve them (for example, severe weather, a local emergency, a tragedy in your community, or a cancelled event). You are responsible for pausing or unscheduling scheduled posts that are no longer accurate or appropriate, and for removing from the platform any post that has already published. In the Service you can pause all of your publishing, and you can pause or resume a single scheduled post, including a campaign post, and give up a single approved post that has not been published on any platform by unscheduling it, or, for a campaign post, by skipping it in your calendar (Section 8). You can pause or resume a single post only before its scheduled time; a campaign post that was paused when its scheduled time passed will not be published. You cannot pause or unschedule a post while it is being sent or after it has published on any platform, and you cannot unschedule or skip a post when we cannot confirm whether it published or after your account has closed. An unscheduled or skipped post goes back to your drafts, where you can edit it; whether it is also returned to your allowance is set out in Section 8, and once you have copied or downloaded its clean image it generally is not. We may, but are not required to, pause scheduled posts when we become aware of such an event. We are not responsible for a post you approved that publishes as scheduled.

5. Acceptable use

You agree not to use the Service to:

  • break any law, or help anyone else break a law;
  • publish content that is false or misleading, defamatory, harassing, hateful, sexually explicit, violent, or that infringes someone else's rights;
  • create, buy, sell, or publish fake or AI-written consumer reviews or testimonials, or testimonials that misrepresent the experience of a real customer; present owners, staff, or relatives as independent reviewers without clear disclosure; suppress reviews, or ask only happy customers for reviews, based on whether they are positive (review gating); offer incentives conditioned on a review being positive; or otherwise violate the FTC Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465) or the FTC Endorsement Guides;
  • impersonate any person or business, or imply that a real person or business endorses you when they do not;
  • generate images or other content depicting a real, identifiable person without their consent;
  • present AI-generated content in a way that misleads people about a fact that matters to them (for example, AI-generated images presented as actual photos of your products, food, menu items, premises, or staff);
  • create political campaign content, or content about elections, candidates, or ballot measures;
  • use the Service or Outputs in violation of the usage policies of our AI providers, which we will make available on request and which you agree to follow;
  • publish to accounts, Pages, or locations you do not own or are not authorized to manage;
  • send spam, or send messages to people who have not agreed to receive them;
  • violate the terms or policies of any connected platform (see Section 8);
  • upload malware, or try to probe, break, or get around our security, rate limits, usage caps, or access controls;
  • reverse engineer the Service, except where the law says you may;
  • use the Service to build a competing product, or to train or improve any AI model; or
  • access the Service if you are a direct competitor of PostHaste or are acting on behalf of one, or to monitor its availability, performance, or functionality for competitive purposes, except with our written consent.

We may remove content, pause publishing, or suspend accounts that we reasonably believe violate this section.

6. No bulk extraction or resale of generated content

Exploring ideas in PostHaste is free and unlimited within the published rate limits, so that you can find the right content for your business. That freedom is for use inside your own business. You agree that you will not:

  • use scripts, bots, browser automation, scrapers, or any other automated means to access the Service, generate content, or collect Outputs;
  • bulk-export, copy, or harvest Outputs (including drafts you never publish) for use in other tools, content libraries, or services;
  • resell, license, or distribute Outputs to anyone else, or use the Service to produce content for businesses other than the business on your account (a future Agency plan may allow multi-business use on its own terms); or
  • share your account or seats with unaffiliated businesses, or open multiple accounts to multiply trials, bonuses, or rate limits.

If we reasonably believe you are violating this section, we may throttle, suspend, or terminate your account immediately and without a refund, in addition to any other remedies we have.

7. Your content and ownership

Your content. "Your Content" means everything you or your teammates provide to the Service, including your website content, logos, photos, brand details, business information, guardrails, and anything you type in.

Outputs. As between you and us, you own the Outputs generated for your account, to the extent the law allows anyone to own them. We assign to you any rights we have in Outputs. We do not promise that any Output is protectable by copyright or any other intellectual property right, or that it does not resemble material owned by others. Your ownership of an Output does not extend to any third-party material, trademark, or likeness that appears in it.

License to us. You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, adapt, and display Your Content and Outputs only as needed to provide, secure, and support the Service for you, including sending them to the AI providers and connected platforms described in our Privacy Policy. This license ends when your content is deleted under our Privacy Policy, except for copies we must keep by law or in routine backups until they expire.

Aggregated insights. We may create de-identified, aggregated statistics from use of the Service (for example, which image styles businesses in an industry tend to approve) to improve the Service. These statistics do not identify you or your business and never include content received from a connected platform.

No AI training on your content. We do not use Your Content or your Outputs to train AI models, and we do not allow our AI providers to do so, as described in our Privacy Policy.

Your promises. You confirm that you have the rights needed to give us Your Content, and that our use of it as allowed by these Terms will not infringe anyone's rights. You will not upload, or ask the Service to generate content containing, trademarks, logos, characters, or likenesses of people or businesses that you do not have the right to use.

Your brand assets. You permit us to reproduce your logos, marks, and other brand assets in Outputs for your account only. This permission is part of the license above and ends when that license ends.

Our property. PostHaste owns the Service, including our software, design, prompts, models of how we work, and brand. These Terms do not give you any rights in them except the right to use the Service as allowed here.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it into the Service without any obligation to you. We will not identify you publicly as the source without your permission.

8. Connected platforms and third-party services

When you connect a social or business account (such as Facebook, Instagram, Threads, LinkedIn, or Google Business Profile), you authorize us to access that account through the platform's official API, within the permissions you grant, to provide the Service. You may disconnect an account at any time in Settings, under Connections. When you disconnect, we delete the access tokens we stored for that account and stop the scheduled posts to it that have not started publishing. Those posts stay approved, count toward your plan, and wait for you on that platform: you can post one yourself on the platform, and mark it as posted when you reconnect, or, if it has not been posted on any platform, unschedule it (for a campaign post, skip it), which returns it to your allowance as described below unless you have already copied or downloaded its clean image. Reconnecting the account does not by itself publish posts you approved before you reconnected.

Your authority to connect. When you connect an account, you confirm that you (or the business on whose behalf you act) own that account or are an authorized administrator of it, with authority to let PostHaste publish to it, and that connecting it does not violate the platform's terms or any agreement you have with anyone else. Before a connection starts, the app asks you to confirm that you are an owner or authorized manager of the account and that you authorize PostHaste to publish posts you approve to it, and we record who confirmed, when, and the version of the wording shown. You authorize PostHaste to publish content you approve to that account, at the time you schedule, until you disconnect it. If the person who connected an account leaves your business or loses admin rights, you are responsible for reconnecting or disconnecting it.

  • Your use of each platform is governed by that platform's own terms and policies, which you agree to follow, including Meta's terms for Facebook, Instagram, and Threads, the LinkedIn User Agreement, and Google's terms and policies for Google Business Profile.
  • Connected platforms control their own services. A platform may at any time change or discontinue its API; reject, delay, limit the reach of, or remove a post; restrict or suspend your Page, profile, or location; ban your account; or revoke or restrict PostHaste's own access to its API. We are not responsible for, and are not liable for, any such action or its consequences, including lost reach, followers, reviews, or business. If a platform permanently revokes our access for reasons you did not cause, and this removes a core feature you have prepaid for, Section 15 applies. We do not refund fees because a platform took action against your account for content you approved.
  • Content you publish to a platform is governed by that platform's terms. If you leave PostHaste, we do not delete posts you already published.
  • Payments are processed by Stripe, Inc. and are subject to Stripe's terms. PostHaste Technologies, Inc. is the seller; Stripe is our payment processor, not the seller. We do not receive or store your full card number.
  • Some images shown in the Service are provided by third parties under their own licenses (for example, the photos from Pexels and Wikipedia that illustrate your Research page). They are shown for your information only. They are not Outputs, and you may not copy, resell, or redistribute them.

Scheduled publishing can fail. Scheduled publishing depends on the connected platform, your account's permissions, and network conditions outside our control. A post may publish late, fail to publish, publish more than once, or appear differently than in the preview. We do not start publishing a post more than 6 hours after its scheduled time. You are responsible for checking that important posts (for example, time-sensitive promotions) have published. We will make reasonable efforts to notify you of failures we detect, including a failure on one platform when the post published on another. If we cannot confirm whether a post went out on a platform (for example, the platform did not answer when we sent it), we tell you: check your page there, and if the post is not there, post it yourself.

When a connection stops working. If a connected account stops working (for example, the access you granted expired or was revoked, including at the moment we try to publish), we do not treat its posts as failed, we do not return them, and we do not send a failure notice for them. Each such post stays approved and waits, ready for you, on that platform until you reconnect. When you reconnect, we show you your approved posts that are still waiting for their scheduled time. You can mark any you already posted yourself as posted, and then choose whether we publish the rest; until you do, they wait and do not publish on that platform. A scheduled time that passes while the connection is broken is not published later when you reconnect, and reconnecting does not by itself publish posts you approved before you reconnected. When we find that the access you granted for a connected account has expired or been refused, we will make reasonable efforts to tell you, including by email.

A post counts against your plan's monthly post allowance (Section 10) when you approve it for scheduling. A post counts as published on a platform when we publish it there, or when you mark it as posted there yourself. For a post we publish automatically to your connected accounts, we return it to your allowance only when every platform it was scheduled for has finished without the post being published there: on each one, the platform permanently refused it, we stopped retrying it, or we could not start publishing it within 6 hours of its scheduled time. We return it to the billing cycle in which it was counted if that cycle has not ended, and otherwise to your current billing cycle, and the post is marked as failed. We do not return:

  • a post that published on at least one platform, even if it failed on the others, and even if a platform later tells us that a post we recorded as published there failed;
  • a post we cannot confirm did not publish (we tell you, as described above);
  • a post waiting for you on a platform: one you never connected, connected only after you approved the post, disconnected, or whose connection stopped working. It stays approved and is not returned automatically;
  • a post held back because you paused it, or paused all of your publishing, because you chose to pause it; or
  • a post that was still waiting to publish when your account was closed (Section 12). It is not published and is not returned.

You can give up any approved post that has not been published on any platform: unschedule it, or, for a campaign post, skip it in your calendar. It goes back to your drafts and we return it to your allowance in the same way, unless we have already given you its clean image (below). This works whether the post is waiting for its scheduled time, paused, or waiting for you on a platform, but not while we are sending it, not when we cannot confirm whether it published, and not after your account has closed. A post that has published on any platform cannot be unscheduled or skipped; post it on the remaining platforms yourself. If the post was counted against a Post Pack or Power Post Pack (Section 10), whenever this Section says we return it to your allowance we return it to that same pack instead, whatever caused the failure, but only while that pack is still usable: we do not return a post to a pack whose posts were forfeited (Section 10), whose purchase was refunded, or whose payment is disputed, and we never return it to a different pack or to your monthly allowance instead. A returned post must be approved again, and counted again, before it can publish, and until then it is downloaded without its image (Section 12).

A post whose clean image you already have. Approving a post unlocks its clean image (without the preview watermark). Once we have given you that image for the post's current approval -- when you copy or download it in Studio, or when it is included in "Download my posts" (Section 12) -- giving the post up no longer returns it: if you unschedule or skip it, it goes back to your drafts but is not returned to your allowance or pack. Copying or downloading the image again under the same approval changes nothing further. This does not apply when the failure is ours: if every platform the post was scheduled for has finished without publishing it (the cases above in which we return a post ourselves) and none of them is still waiting, unscheduling or skipping it still returns it. If you approve the post again, that new approval counts again and starts afresh, so giving it up returns it unless you copy or download its clean image again under that new approval. We do not give you the clean image when we publish the post for you, so publishing alone never has this effect. Viewing the post's image in your Library does not count either: until the post has published, or you copy or download the clean image for the post's current approval, the Library shows it with the preview watermark. Returning a post to your allowance or pack as described here is your sole remedy for a post that fails to publish. We do not return, or otherwise compensate you for, a post that publishes late, publishes more than once, or appears differently than in the preview.

9. Free trial

  • New businesses may start a free trial without a credit card. The trial lasts 14 days and includes up to 20 posts (a post counts when you approve it for scheduling; see Section 10). After 20 posts you can keep exploring and editing until day 14, but you must choose a plan to approve more.
  • Each business may have one free trial, ever. Cancelling and signing up again does not start a new trial.
  • If the trial ends and you do not choose a plan, your account is closed (Section 12): AI generation and publishing stop, and your posts, ideas, images (the ones you uploaded and the ones we generated), settings, and the rest of your account data (such as your business profile, goals, campaigns, and research) are locked but kept for 90 days, then deleted (Section 12). During that time you can choose a plan to restore access, download your approved posts, or delete your account.

10. Plans, billing, and commitments

Plans. Current plans and prices are shown on our pricing page. Prices are in U.S. dollars and do not include tax. Applicable sales tax is calculated at checkout.

Commitment options. Each plan is available as:

  • Monthly: billed every month.
  • 4-Month Plan (1 month free): you prepay for 3 months and receive a 4-month term.
  • Annual: you prepay for 8 months and receive a 12-month term.

Automatic renewal. Your subscription renews automatically at the end of each billing period, for the same commitment length, and we charge your payment method on file unless you cancel before the renewal date. Before you check out, we ask you to agree to automatic renewal separately, and we show the renewal price, how often you will be charged, and how to cancel. We will email you a reminder before each 4-Month and Annual renewal (for Annual plans, between 15 and 45 days before the renewal date).

Prepaid commitments. No refund for unused months. 4-Month and Annual plans are prepaid commitments. You may cancel at any time, and you keep access through the end of the term you paid for, but we do not refund unused months or partial periods, except as follows: if a 4-Month or Annual plan renews and you ask us within 14 days after the renewal charge, we will refund that renewal charge in full and end your subscription. On a 4-Month or Annual plan you can ask to downgrade at any time, and the downgrade takes effect when your current term ends; it never takes effect mid-term.

Upgrades and downgrades. Upgrades take effect as soon as we successfully charge a prorated amount for the rest of your current billing period or committed term; if that charge fails, your plan does not change. Downgrades and changes to your commitment length take effect at your next billing date, with no proration or refund. If a downgrade would leave you with more teammates (counting invitations not yet accepted) than the new plan allows, you must remove the extra teammates or invitations first.

Post caps and packs. Each plan includes a monthly number of posts. A post is one piece of content you approve for publishing; it counts once, however many platforms it is published to. Exploring ideas and editing drafts do not count toward the cap; approving a post for publishing does, including campaign posts. Deleting a post after you approve it does not return it to your allowance. A post counts when you approve it for scheduling, and is returned to your allowance only as Section 8 describes: when every platform it was scheduled for has finished without it being published there, or when you unschedule it (or, for a campaign post, skip it) before it has published on any platform and before you have copied or downloaded its clean image (Section 8). Your allowance resets every month on the monthly anniversary of your subscription start, whatever your commitment length. Unused posts do not roll over to the next month and have no cash value. Post Packs and Power Post Packs are one-time purchases that add posts to your account. You can buy one only while your account is active on a plan (not during a free trial or while a payment is overdue), and only the pack sold for your plan: Post Packs for Starter and Growth, Power Post Packs for Pro. You cannot buy a pack while a cancellation, or a plan change that would forfeit the pack, is scheduled. Pack posts do not expire at the end of the month; they stay available while your account stays open, unless we fully refund the pack purchase, which ends that pack's unused posts. Unused pack posts are forfeited, with no refund, when your plan ends and your account closes (for any reason, including at the end of your paid term after you cancel), and unused Power Post Pack posts (but not Post Pack posts) are also forfeited when a move from Pro to Growth or Starter takes effect, because those plans' own pack costs more per post than a Power Post Pack. Moving to a higher plan does not forfeit a pack: Post Pack posts stay usable on Pro, and stay usable if you later move back to Growth or Starter. Moving between Starter and Growth forfeits nothing. Subscribing again, or reopening a closed account, does not restore forfeited posts. A pack post is counted when you approve it, and is returned to the same pack, while that pack has not been forfeited and its purchase has not been refunded or disputed, in the cases where Section 8 returns a post. Pack posts have no cash value; if we refund a pack purchase, posts returned to it are not refunded again.

Pro plan. The Pro plan includes 150 posts per business per month, as shown on our pricing page. If you need more, you can buy a Power Post Pack, as described above. We will not apply a change to the allowance retroactively to posts already approved in a month.

Storage. Each plan includes a storage allowance for your uploaded and generated media, shown on our pricing page, and your billing settings show how much you are using. If you go over your allowance, we may ask you to upgrade or remove files; we will not delete files for being over the allowance without notice.

Rate limits. To keep the Service fair and reliable, idea generation is rate limited per business account, as published on our pricing page.

Failed payments. If a renewal payment fails, you keep full access for 7 days while we retry the charge and email you. After that, until payment succeeds, you can still view your content and posts you already approved still publish, but AI generation and approving new posts are paused. We retry the charge over about 14 days in total. If payment is not received, your subscription ends and your account is closed as described in Section 12.

Chargebacks. If you dispute a charge with your bank instead of contacting us, we close your account and cancel your subscription (Section 12); the account is not reopened automatically, and the business is not eligible for a future free trial. Please contact support@posthaste.io first; we resolve billing problems directly.

Price changes. We may change prices with at least 30 days' notice before your next renewal. If you are already subscribed, you keep your current price through your current billing period or term; a new price applies only from a renewal after that notice.

Promotional offers. If we offer a promotion or a promotional code, its terms are shown with the offer and apply along with these Terms. A promotional code applies only as stated with the code.

11. Cancellation

You can cancel at any time, in one step, from your billing settings (My subscription > Cancel plan). When you cancel:

  • you keep access until the end of the period or term you already paid for;
  • no further charges are made;
  • no refund is given for the rest of the current period or term; and
  • any unused pack posts are forfeited when your plan ends and your account closes (Section 10).

When you cancel in your billing settings, we also offer you "Download my posts" (Section 12).

Deleting your account while subscribed. If you delete your account while a subscription is active, we cancel the subscription immediately: nothing more is charged, and the time left on it is not refunded. If a 4-Month or Annual plan renewed in the last 14 days, contact us before you delete your account to ask for the refund of that renewal described in Section 10.

12. Suspension, termination, and what happens to your data

By you. You may cancel your subscription at any time (Section 11) and may ask us to delete your account at any time (see our Privacy Policy and Data Deletion Instructions).

By us. We may suspend or terminate your access if you materially breach these Terms (including Sections 5 and 6), fail to pay, create risk or legal exposure for us or others, or if a connected platform requires it. Where reasonable, we will give notice and a chance to fix the problem first. We may also stop offering the Service with at least 30 days' notice; if we terminate for that reason, or otherwise without cause, we will refund any prepaid fees for the unused part of your term.

After closure. Your account is closed when a free trial ends without a paid plan, when you delete it, when a subscription ends, when a final payment fails, or when a charge is disputed. A closed account does no AI work and publishes nothing. Unless you deleted it, its data is kept in a restricted state for 90 days so that you can reactivate it by choosing a plan (after a disputed charge, contact support@posthaste.io instead), download your approved posts, or delete it sooner. After 90 days we delete it automatically. If you delete your account, it is scheduled for deletion immediately instead of being held for 90 days, and it cannot be reactivated. In either case we keep a keyed one-way hash of your business identity and trial/bonus eligibility markers, to prevent trial abuse; billing records our payment processor keeps as the law requires; records of billing problems flagged for our staff, which hold the payment processor's reference numbers but no name, email, or business details; and the other limited records listed in our Privacy Policy (Section 9), which also explains how long each is kept.

Keep your own copies. You are responsible for downloading any approved posts or other content you want to keep before your account is deleted. Once deleted, data cannot be recovered. An account Admin can do this with "Download my posts" in Settings > Account or on the closed-account screen, which gives you every approved post with its text and, where we still hold it and the post still counts against your plan or a pack, its clean image (without the preview watermark), together with a list of anything that could not be included. Including a still-scheduled post's clean image in the download counts as giving you that image (Section 8): if you later unschedule or skip that post, it is not returned to your allowance or pack unless it failed to publish on every platform. Downloading again is fine. A post returned to your allowance or a pack (Section 8) is downloaded as text only. Keeping copies of your own approved posts is not the bulk extraction that Section 6 prohibits.

Sections that by their nature should survive termination (including 6, 7, 16 through 21) survive.

13. Notifications, email, and SMS

We send transactional emails needed to run your account (for example, sign-in, account, and publishing notices). When text alerts are available, if you opt in, we may also send text messages about your account, such as reminders that posts are waiting for your approval. Our SMS Terms are part of these Terms and are set out in Appendix A.

14. Pre-launch and beta features

Before our public launch, and for any feature we label as beta, early access, preview, or "coming soon":

  • the feature may be incomplete, change, or be removed without notice;
  • some integrations (including direct publishing to certain platforms) depend on approval from those platforms and may not be available; until then you may need to copy and post content yourself; and
  • these features are provided "as is," without any service commitment.

15. Service changes and availability

We work to keep the Service available but do not promise it will be uninterrupted or error-free. We may change features, add or remove AI providers or platforms, and perform maintenance. If a change materially reduces a core feature you have paid for in advance, contact us and we will work with you in good faith.

16. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, POSTHASTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS OR RESEARCH WILL BE ACCURATE, COMPLETE, ORIGINAL, OR FIT FOR YOUR PURPOSE, OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT (SUCH AS MORE CUSTOMERS, ENGAGEMENT, OR REVENUE).

17. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW:

  • POSTHASTE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND
  • POSTHASTE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow these limits, so they may not fully apply to you.

18. Indemnity

You will defend, indemnify, and hold harmless PostHaste and its officers, directors, employees, and agents from any third-party claim, and related losses and reasonable costs (including attorneys' fees), arising from: (a) content you approve or publish through the Service; (b) Your Content; (c) your violation of these Terms, the law, or a connected platform's terms; or (d) your business's products or services.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before filing any claim, each party agrees to try to resolve the dispute informally by contacting the other (you at legal@posthaste.io) and negotiating in good faith for at least 30 days.

If the dispute is not resolved, it will be resolved exclusively in the state or federal courts located in the State of Idaho, and both parties consent to personal jurisdiction and venue there. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

20. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Changes will not apply retroactively. If you do not agree to a change, you may cancel before it takes effect; continuing to use the Service after that date means you accept the updated Terms.

21. General

  • Entire agreement. These Terms (including Appendix A and any plan or promotion terms shown at checkout), together with our Privacy Policy, are the whole agreement between us about the Service.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
  • Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages at a hosting provider, AI provider, or connected platform.
  • Notices. We may send notices to the email on your account. You may send notices to legal@posthaste.io, with a copy by mail to the address below.
  • Export and sanctions. You will comply with U.S. export and sanctions laws. You confirm that you are not located in a country subject to a comprehensive U.S. embargo, and that neither you nor your business is on a U.S. government restricted-party list. You will not allow anyone who is to use the Service.
  • Publicity. We will not use your business name, logo, or content in our marketing, case studies, or customer lists without your prior permission, which you may give or withdraw at any time by emailing support@posthaste.io.
